Terms of service

Draft prepared for PineMetric's first customers. Have it reviewed by a lawyer before taking payments.

1. The agreement

These terms are between Antara Kar, an individual based in West Bengal, India ("PineMetric", "we") and the organisation that uses PineMetric ("the Customer"). The person who accepts them on the Customer's behalf confirms they are allowed to. PineMetric is sold to organisations only, not to consumers.

The Privacy policy and the Data processing agreement form part of these terms.

2. The service

PineMetric lets the Customer upload invoice data, check it against validation rules, find likely duplicates, and plan and discuss the work with colleagues. We may improve and change features; we will not remove a core feature the Customer relies on without 30 days' notice.

Early access. Until paid plans start, PineMetric is provided free of charge to invited organisations as early access. During early access the service may change more often and has no availability commitment, though we work to keep it running and its data safe.

3. Accounts

An organisation can sign itself up; the person who does so becomes its first administrator. The Customer's administrators invite its users and decide their roles, and may let people sign in through Google, Microsoft or the Customer's own identity provider. Each user keeps their own password secret, and the Customer is responsible for what its users do in PineMetric. Tell us at [email protected] straight away if you think an account has been misused.

4. Acceptable use

The Customer will not, and will not let anyone: break the law using PineMetric; upload malware or content it has no right to use; try to reach another organisation's data, test our security without written permission, or overload the service; copy, resell or reverse-engineer it; or use it to build a competing product.

5. The Customer's data

Everything the Customer puts into PineMetric stays the Customer's. We use it only to provide and support the service, as set out in the DPA, and never to train AI models. The Customer is responsible for having the right to upload it. Findings (validation results, duplicate matches, AI explanations) are aids to a person's judgement, not financial or legal advice; the Customer decides what to pay.

The Customer can export its data at any time while its account is open, and for 30 days after it closes.

6. Plans, trials and fees

Paid plans are described on our pricing page and billed by our reseller and merchant of record, who is named at checkout. Fees are exclusive of taxes unless stated. Early-access organisations will be told at least 30 days before any charge applies, and nothing will be charged without the Customer choosing a plan.

Free trial. A self-serve plan starts with a 7-day free trial, once per organisation. A payment card is required to start it. Nothing is charged during the trial; the first charge is taken when it ends unless the subscription is cancelled first, and we remind the Customer's administrators two days before and on the last day.

Renewal and cancellation. Subscriptions renew automatically each month or year until cancelled. The Customer can cancel at any time from Billing; the service continues until the end of the period already paid for and nothing further is charged. Upgrades take effect at once and are charged pro rata; a downgrade must fit the organisation's current users and regions.

Refunds. Fees already paid are not refunded, except where the law requires it or where we end the agreement without cause, in which case we refund the unused part of the period. Charges taken in error are refunded in full. The Refund policy says how to ask.

Late payment. If a payment fails, the service continues for 7 days while the card is updated. After that the organisation becomes read-only — its data can still be read and exported — until payment is made. Nothing is deleted because of a late payment.

7. Availability and support

We aim to keep PineMetric available around the clock, with maintenance announced in advance where possible, and to answer support requests within two working days. Service-level commitments with credits are available on Enterprise plans.

8. Confidentiality and security

Each side keeps the other's confidential information confidential and uses it only for this agreement. We protect the Customer's data as described in the Privacy policy and the DPA.

9. Warranties and liability

We will provide the service with reasonable skill and care. Apart from that, and to the extent the law allows, PineMetric is provided "as is".

Neither side is liable for indirect or consequential loss, or loss of profit, revenue or goodwill. Each side's total liability under this agreement in any 12 months is limited to the fees the Customer paid in those 12 months, or ₹10,000 if that is more. These limits do not apply to a Customer's breach of section 4, to either side's fraud, or to anything that cannot be limited by law.

10. Ending the agreement

The Customer can stop using PineMetric at any time, and its administrators can delete the organisation from its settings, which starts the 30 days described below. Either side can end the agreement if the other seriously breaches it and does not put it right within 30 days of being told. We can suspend access immediately to stop a security threat or a breach of section 4. After the agreement ends the Customer has 30 days to export its data, after which we delete it as set out in the DPA.

11. General

We may update these terms; significant changes are announced by email at least 30 days ahead. These terms are governed by the laws of India, and the courts at Kharagpur, West Bengal have exclusive jurisdiction. Nobody else can enforce them. If part of them cannot be enforced, the rest still applies.
